The Federal Tax Authority published TAXP010, “Free Zones and Designated Zones for Tax Purposes,” on 2 October 2026. It explains why businesses must distinguish the classifications used for Corporate Tax, VAT and Excise Tax.
For UAE Free Zone Corporate Tax, the key question is not simply whether a company holds a Free Zone licence. Businesses must establish their relevant zone status, assess their activities and determine whether they meet the Qualifying Free Zone Person requirements.
This matters particularly for distributors relying on Designated Zone treatment. The practical priority is to connect the company’s legal status, operating location, customer transactions and supporting evidence before claiming 0% treatment.
What Is FTA Public Clarification TAXP010?
TAXP010 explains how Free Zone and Designated Zone definitions apply under different UAE tax laws. It is interpretive guidance, not a new blanket exemption or a newly introduced 0% rate.
Read it alongside the Corporate Tax Law, Cabinet Decision No. 100 of 2023 and Ministerial Decision No. 229 of 2025. The management checks below are practical recommendations, not substitutes for those requirements.
Free Zone vs Designated Zone: What Is the Difference?
Status | Meaning | Corporate Tax relevance |
Corporate Tax Free Zone | A defined UAE geographical area specified by Cabinet decision. | Relevant to whether an entity is a Free Zone Person. |
VAT Designated Zone | An area designated under the VAT legislation. | VAT designation alone does not establish Corporate Tax designation. |
Corporate Tax Designated Zone | A VAT Designated Zone also recognised as a Free Zone under Corporate Tax law. | Relevant to particular activities, especially qualifying distribution. |
These classifications concern locations. QFZP status concerns the person meeting the applicable tax conditions.
Why a VAT Designated Zone Is Not Automatically a Corporate Tax Designated Zone
Both legal classifications must apply: VAT Designated Zone status and Corporate Tax Free Zone status. TAXP010 directs taxpayers to confirm their position with their respective Free Zone authority.
As a practical step, request confirmation identifying the precise premises, relevant geographical boundaries and applicable period. Ask separately about Corporate Tax Free Zone status and Corporate Tax Designated Zone status.
Keep the response with the eligibility assessment. Do not treat a marketing brochure, licence address or historic VAT assumption as the entire analysis.
How TAXP010 Relates to UAE Free Zone Corporate Tax
A Free Zone Person is a juridical person incorporated, established or otherwise registered in a Free Zone, including a registered branch of a non-resident person. A Qualifying Free Zone Person meets the additional statutory conditions.
A QFZP is taxed at 0% on Qualifying Income and 9% on taxable income that is not Qualifying Income. The ordinary AED 375,000 zero-rate band does not apply to a QFZP’s income taxed at 9%.
Under Cabinet Decision No. 100 of 2023, qualifying income routes include qualifying transactions with another Free Zone Person that is the beneficial recipient, and Qualifying Activities with Non-Free Zone Persons, subject to exclusions. Specific rules govern permanent establishments, property and intellectual property.
Importantly, non-qualifying revenue for the de minimis test is not identical to income taxed at 9%. Certain other income can qualify when that test is satisfied.
When Does Corporate Tax Designated Zone Status Matter?
Designated Zone status is activity-specific; it is not an additional location requirement for every Qualifying Activity.
Distribution of Goods or Materials
Ministerial Decision No. 229 of 2025 covers buying and selling tangible goods in or from a Designated Zone. Goods entering the UAE must be imported through the Designated Zone. Eligible customers include those reselling, processing or altering the goods for sale or resale, and public benefit entities.
Distinguish distribution from logistics: storing or transporting another person’s goods without taking ownership falls within the separate logistics definition.
Additional Distributor Procedures for 2026
FTA Decision No. 6 of 2026 applies to tax periods beginning on or after 1 January 2026. Affected QFZP distributors must obtain an independent auditor’s agreed-upon procedures report under ISRS 4400.
The report addresses reseller status and Designated Zone importation. It must be submitted within 30 days after the relevant Corporate Tax return deadline, unless the FTA specifies another date. Failure to submit means the specified conditions are not met.
This is a separate compliance requirement, not an audit requirement newly created by TAXP010.
Other Conditions for Qualifying Free Zone Person Status
The principal requirements include adequate substance, Qualifying Income, compliance with transfer-pricing obligations and no election into the standard Corporate Tax regime.
Assess whether core income-generating work, personnel, assets and expenditure are adequate for the activities; a licence alone is not evidence of operational substance.
Ministerial Decision No. 229 of 2025 also requires audited financial statements and satisfaction of the de minimis test. Non-qualifying revenue must not exceed the lower of 5% of total revenue or AED 5 million, using the prescribed calculation and exclusions.
Failure to meet the relevant conditions generally removes QFZP status from the beginning of that tax period and for the following four tax periods. This is different from an eligible QFZP having particular income taxed at 9%.
How to Check Whether Your Free Zone Qualifies
Start with the legal entity and location, then work through activities, transactions and continuing compliance. Use this practical review matrix:
Review question | Suggested evidence or action |
Which entity and premises are being assessed? | Reconcile incorporation documents, licences, leases and operating addresses. |
Is the necessary zone status established? | Retain authority confirmation covering the location and relevant period. |
What generates each revenue stream? | Map contracts and invoices to actual activities and customer categories. |
Does qualifying distribution treatment apply? | Review customer evidence, import routes and the required auditor engagement. |
Are continuing QFZP conditions satisfied? | Maintain substance, audit, transfer-pricing and de minimis working papers. |
Who resolves gaps? | Assign an owner, completion date and reviewer to each open issue. |
Use “confirmed,” “needs evidence” or “requires advice” against each item. An unanswered question should trigger investigation, not an automatic assumption of 0% eligibility.
Common Mistakes Free Zone Businesses Should Avoid
Do not classify all revenue from one licence description. Review the transactions behind it: the customer, contractual obligations, goods movement and where the work occurs.
Likewise, do not treat a warehouse arrangement as proof that every related sale qualifies. Distribution and logistics need separate activity analysis.
Another mistake is assuming the annual financial-statement audit automatically includes the distributor report. Agree the required scope and deliverable explicitly with the auditor.
As an internal control, reassess the position when premises, customers, import routes or operating arrangements change.
What Should UAE Free Zone Businesses Do Now?
Bring finance, operations and the tax reviewer together to complete the matrix. Resolve location questions first, then review material revenue streams and supporting evidence.
For distributors, add customer-document collection and the auditor-report timetable to the compliance calendar. Keep responsibility with named owners rather than leaving evidence collection until filing.
Maintain one evidence folder per tax period, with links from the revenue schedule to relevant contracts, authority responses and reviewer conclusions, so decisions remain traceable.
A 0% outcome does not itself remove Corporate Tax registration and return obligations. Review Corporate Tax registration requirements and the rules for filing when no Corporate Tax is payable.
Conclusion
UAE Free Zone Corporate Tax requires separate assessments of location, eligibility and income. TAXP010 reinforces those distinctions; the priority is a documented position supported by actual operations.
